1. Acceptance of Terms

By accessing or using the Aegis Impact AI platform ("Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Aegis Impact AI provides an AI-powered due diligence and risk intelligence platform designed for CSR teams, corporate foundations, and impact capital allocators. The Service includes AI agent-based document analysis, NGO risk assessment, governance scoring, compliance review, and executive report generation. The Service is provided for informational and decision-support purposes only and does not constitute legal, financial, or investment advice.

3. Account Registration & Access

To access the Service, you must:

Create an account using a valid Google account or approved email
Complete an onboarding call with our team for account activation
Provide accurate and complete registration information
Maintain the security of your account credentials

We reserve the right to suspend or terminate accounts that violate these terms or for any other reason at our discretion, with or without notice.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable regulations
Upload documents containing false, misleading, or fraudulent information
Attempt to reverse engineer, decompile, or extract the AI models
Share your account credentials with unauthorized parties
Use the Service to harm, defame, or discriminate against any organization
Interfere with or disrupt the integrity or performance of the Service

5. Data & Content Ownership

You retain ownership of all documents and data you upload to the Service. By uploading content, you grant Aegis Impact AI a limited, non-exclusive license to process that content solely to provide the Service. We do not sell your data to third parties. AI-generated reports and assessments produced by the Service are provided for your use subject to these terms.

6. AI Output Disclaimer

The AI-generated assessments, risk scores, and recommendations provided by Aegis Impact AI are intended to support human decision-making and should not be the sole basis for any funding or investment decision. Our AI agents process available information and may not reflect complete or current data. Aegis Impact AI does not guarantee the accuracy, completeness, or suitability of AI-generated outputs for any particular purpose. Users are responsible for independently verifying information and exercising professional judgment.

7. Intellectual Property

The Aegis Impact AI platform, including its software, AI models, design, trademarks, and content, is owned by Aegis Impact AI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without express written permission. Your feedback and suggestions may be used by us to improve the Service without obligation to you.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Aegis Impact AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including funding decisions made based on AI-generated assessments. Our total liability to you for any claims arising under these terms shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in India. For users in the European Union, mandatory consumer protection laws of your country of residence shall also apply.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the platform. Your continued use of the Service after changes become effective constitutes your acceptance of the revised terms. If you do not agree to the updated terms, you must stop using the Service.
